Terms of Service

Please read this first. This document is a template. It has not been reviewed by a lawyer. It is a starting point, not legal advice. Before BotClarify is sold to anyone, BotClarify Pte. Ltd. must have these terms checked by a qualified lawyer against the laws that actually apply to it and to its customers. Do not rely on this text as it stands.

1. Who these terms are between

BotClarify is operated by BotClarify Pte. Ltd., of 18 Marina Gardens Dr, Singapore 018953. In this document, "we", "us" and "our" mean that company. "You" means the organisation that opens an account, together with everyone who uses the service under that account.

The marketing site is at botclarify.com. The product itself is at app.botclarify.com. These terms cover both.

By opening an account, or by using the service, you agree to these terms. If you do not agree, do not use the service.

2. What BotClarify does

BotClarify is a question-and-answer tool for a company's own documents. An administrator uploads files. We read the text out of them, index it, and let your people ask questions in a chat. The answer is drawn from your documents, and every answer names the file it came from.

We accept PDF, DOCX and TXT files, up to 25 MB each. For scanned PDFs with no text layer, we use optical character recognition to read the page.

3. Who may use the service

BotClarify is sold to businesses and other organisations. It is not a consumer product.

To open an account you must be at least 18 years old and able to enter into a contract on behalf of your organisation. The service is not intended for children, and you must not let anyone under 16 use it.

You must not use the service if the law where you are, or the law that applies to us, forbids us from supplying it to you.

4. Accounts, administrators and members

There are two roles.

Folders can be made private and opened to named email addresses only. Permission is checked before any search runs, so a person who has no access to a folder cannot get an answer drawn from the documents inside it.

The administrator who opens the account is responsible for it. That means deciding what gets uploaded, deciding who is invited, removing people who leave, and keeping the sign-in details safe. Anything done under your account is treated as done by you. Tell us promptly at info@botclarify.com if you think an account has been used by someone who should not have it.

Please also make sure your members know that an administrator can read the organisation's chat history.

Please think carefully before uploading special categories of personal data, such as health or payroll records. The service will work, but you are responsible for having a lawful reason to put that material into it. See the Privacy Policy for how we handle personal data.

6. Your documents stay yours

You own your documents, your questions and the content you put into BotClarify. Nothing in these terms transfers that ownership to us.

We do not use your documents to train any model. We do not share them with other customers. They are yours, held for you.

7. The permission you give us, and why

So that the service can actually work, you give us a licence to host, copy, extract text from, index, transmit and display your content. This licence exists only to run and support the service for you. It is worldwide and royalty-free because your files sit on servers in more than one place and we do not charge you separately for the storing of them. It is not exclusive, and it ends when your content is deleted.

Running the service means passing parts of your content to a small number of suppliers. They are listed by name in the Privacy Policy, with what each one does. You agree to us using them.

You confirm that you have the right to give us this permission for everything you upload.

8. Our own system administrators

Our system administrators can technically read stored content. They do so in order to run the service and to support you: to fix a fault, to restore data, to investigate abuse, or to answer a question you have raised. Access is limited to the people who need it for those purposes. We tell you this plainly because it is true of nearly every hosted service, and you should know it before you upload anything.

9. Availability

We work to keep BotClarify available and to fix faults quickly, but we do not promise a particular level of uptime. There is no service level agreement and no uptime credit.

The service can be unavailable for maintenance, for upgrades, because a supplier we depend on has failed, or for reasons outside our control. Where we can, we will give notice of planned work.

We may change, add or remove features. If a change materially reduces what you are paying for, we will tell you before it takes effect.

10. The free trial

New organisations get a 3-day free trial. No card is required to start it.

If the trial ends and you have not upgraded to a paid plan, we delete your uploaded documents, the search index built from them, and the chat history. That deletion is permanent and we cannot undo it.

We keep the account, the organisation and the member list, so that you can come back, subscribe and start again without setting everything up from scratch. But the documents themselves will be gone, so please keep your own copies. BotClarify is not a backup service.

11. Fees, billing and refunds

Paid plans are priced in US dollars and billed monthly in advance. Payment is made through PayPal, either from a PayPal balance or by card through PayPal. We do not see or store your full card number.

There is no minimum contract term. You can cancel at any time. When you cancel, the plan stays active until the end of the period you have already paid for, and then it stops. You are not billed again after that.

Fees are not refundable for part of a month, unless the law that applies to you says otherwise. If we have clearly got a charge wrong, tell us at info@botclarify.com and we will put it right.

Prices are exclusive of any tax we are required to add. We may change our prices, but we will give at least 30 days' notice by email before a change affects your renewals, and you can cancel before it takes effect.

If a payment fails, we may retry it and may suspend access until it succeeds.

12. Suspension and termination

You can stop using the service at any time by cancelling the plan or closing the account.

We may suspend or close an account if you break these terms, if payment fails, if the account is being used unlawfully, or if keeping it open exposes us or another customer to real risk. Unless the situation is urgent or we are forbidden by law from doing so, we will warn you first and give you a fair chance to fix the problem.

After an account is closed, we delete your documents, their index and the chat history. Export or copy anything you want to keep before you close the account. See the Privacy Policy for retention details, including backups.

13. Answers are generated, so check anything that matters

This is the most important thing on this page.

BotClarify writes its answers using a language model working over the text of your documents. It can be wrong. It can miss a passage, read a table badly, blend two clauses together, or state something with confidence that the document does not actually say. Optical character recognition on a scanned page can also misread text.

Every answer names the source file it drew on. That is there so you can check it. If an answer will be used for anything that matters, open the source document and verify it before you act.

The service is an aid to finding what your documents say. It is not legal, financial, medical, tax, safety or professional advice, and it does not replace a person who is qualified to give that advice. You remain responsible for the decisions you take.

14. Other disclaimers

The service is provided as it is and as it is available. To the extent the law allows, we do not give any warranty that it will be uninterrupted, error free, secure, or fit for a particular purpose, and we do not promise that any given answer is accurate or complete.

Nothing here excludes any right you have that cannot be excluded under the law that applies to you.

15. Limit of our liability

We do not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to exclude.

Beyond that, and so far as the law allows:

You are responsible for what you upload, and you agree to cover us for claims brought by a third party because of content you put into the service that you had no right to put there.

16. Confidentiality

We treat your documents and your questions as confidential. We will not disclose them to anyone outside the suppliers listed in the Privacy Policy, except where you ask us to or where the law requires it. If we are legally compelled to disclose something, we will tell you unless we are forbidden from doing so.

17. Our intellectual property

The service, the software behind it, the site and the BotClarify name are ours. You get the right to use the service while you have an account in good standing, and nothing more. You must not copy, resell or create a competing product from it.

If you send us feedback or an idea for a feature, we may use it freely and without owing you anything. We will not treat feedback as confidential unless you ask us to before you send it.

18. Changes to these terms

We may update these terms. If a change is material, we will email the administrator on the account and put a notice in the product at least 30 days before it takes effect. The date at the top of this page always shows the current version.

If you do not accept a change, cancel before it takes effect. Carrying on with the service after that date means you accept the new terms.

19. General

If a clause here turns out to be unenforceable, the rest still stands. If we do not enforce a right straight away, we have not given it up. You may not transfer your account to another company without our written agreement; we may transfer these terms if our business is sold, and we will tell you if that happens. These terms, together with the Privacy Policy, are the whole agreement between us about the service.

20. Governing law

These terms are governed by [[GOVERNING LAW / JURISDICTION]], and the courts of [[GOVERNING LAW / JURISDICTION]] have jurisdiction over any dispute. If something goes wrong, please contact us first at info@botclarify.com. Most problems are quicker to solve by email than in court.
